Betit acquisition - Information Memorandum

Reference is made to yesterday's announcement regarding approval by the Malta Gaming Authority of Gaming Innovation Group Inc.'s (GIG) acquisition of Betit Holdings Ltd. (Betit).

Oslo Børs has now concluded its control of the Information Memorandum dated 14 September 2016. The Information Memorandum (attached) has been prepared by GIG in order to provide information about the Company and Betit and their business in connection with the acquisition referred above and also the acquisition of the 10% minority interest in iGaming Cloud Ltd. For both transactions, settlement will be made in new GIG shares to be listed on the Oslo Stock Exchange. The Information Memorandum also serves as a prospectus equivalent document for the listing of the settlement shares.

 

All necessary approvals to finalize the transactions have now been obtained, and the new GIG shares to be delivered to the sellers of Betit Holdings Ltd. and the 10% in iGaming Cloud will be issued within a few days.

 

The Information Memorandum does not constitute an offer to sell, or a solicitation of an offer to buy, any of the shares or other securities issued by Gaming Innovation Group Inc.
